Our Intellectual Property

Client Work Products

Unless otherwise specified in a separate Service Agreement, upon full payment, clients receive ownership of the custom work products (deliverables) created specifically for them. Cosette Network retains ownership of all pre-existing materials, methodologies, tools, and frameworks used in delivering the Services.

License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business purposes.

Restrictions

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any part of our Services without our express written permission.

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of business.

Confidential Information Includes:

• Business strategies, plans, and proprietary processes
• Technical data, specifications, and source code
• Customer data and personal information
• Pricing, financial, and commercial information
• Any information marked as confidential

This confidentiality obligation survives the termination of these Terms and any Service Agreement.

Payment terms for our Services are governed by the specific Service Agreement or proposal. General terms include:

Prices are as quoted in proposals or Service Agreements and are subject to change with notice.

Payment Schedule

Payment milestones are defined in individual Service Agreements, typically requiring deposits and milestone payments.

Late Payments

Overdue payments may incur interest at 1.5% per month or the maximum rate permitted by law.

Taxes

All fees are exclusive of taxes. You are responsible for applicable taxes except those based on our income.

We reserve the right to suspend Services for accounts with overdue payments exceeding 30 days.

We do not warrant that our Services will be uninterrupted, error-free, secure, or meet all your specific requirements. Any reliance on our Services is at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

1. COSETTE NETWORK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.

2. OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO COSETTE NETWORK DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

3. THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Cosette Network, its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of our Services
• Your violation of these Terms
• Your violation of any applicable laws or third-party rights
• Content or materials you provide to us

Termination by You

You may discontinue using our Services at any time. For active Service Agreements, termination is subject to the terms specified therein.

Termination by Us

We may suspend or terminate your access immediately if you breach these Terms or engage in prohibited activities.

Effect of Termination

• All rights granted to you under these Terms will cease
• You must pay all outstanding fees for Services rendered
• Provisions regarding intellectual property, confidentiality, limitation of liability, and indemnification survive termination

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

We encourage you to contact us first to resolve any disputes informally. Most concerns can be resolved quickly and amicably.

Informal Resolution

Mediation

If informal resolution fails, parties agree to attempt mediation before pursuing arbitration or litigation.

Binding Arbitration

Any unresolved disputes shall be settled by binding arbitration in accordance with the rules of the applicable arbitration authority.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

We reserve the right to modify these Terms at any time. When we make material changes:

• We will post the updated Terms on our website with a new "Last Updated" date
• We will notify registered users and active clients via email
• Material changes will take effect 30 days after posting

Your continued use of our Services after the effective date constitutes acceptance of the revised Terms.

Entire Agreement

Severability

Assignment

You may not assign these Terms without our prior written consent. We may assign our rights without restriction.

Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control.

No Third-Party Beneficiaries

These Terms do not create any rights for third parties unless explicitly stated.
